About Laurie L. Dawley

Laurie L. Dawley is an Attorney and Senior Vice President at Shuttleworth & Ingersoll. Her work focuses on business law, banking and finance law, real estate law, and mergers and acquisitions. She serves on the Firm’s board of directors and is past chair of the Firm’s business practice group and associate/recruiting committee.

Laurie has represented numerous individuals, banks and financial institutions, agricultural and commercial real estate owners and developers, nonprofit corporations, and closely-held businesses and their owners. She has experience conducting farmland auctions and managing large foreclosure actions involving numerous residential and commercial properties.

Laurie is proud to have worked with a local nonprofit organization to obtain its tax exempt status to further its mission of supporting Iowa’s women business owners.

Growing up on a farm in Northeast Iowa and married to a grain and cattle farmer, Laurie is passionate about the importance of agriculture to Iowa’s businesses, economy, and overall quality of life.

Representative Work

Business law:

  • Preparing, negotiating, and reviewing a variety of business contracts
  • Working with clients to choose and form the appropriate business entity (e.g. corporation, limited liability company, partnership) and assisting clients with operational, planning, and governance matters
  • Preparing buy-sell agreements

Banking and finance law:

  • Working with lenders to document complex secured loan transactions and intercreditor agreements
  • Negotiating and preparing a variety of workout documents such as voluntary surrender documents, deeds in lieu of foreclosure, nonjudicial voluntary foreclosure documents, and forbearance agreements that help maximize recovery and minimize legal costs
  • Judicially enforce lender’s rights and remedies through mortgage foreclosure and receivership actions and replevin actions
  • Reviewing loan and collateral documents and preparing enforceability opinion letters
  • Working with borrowers to understand complex loan transactions including refinancings and modifications

Real estate law:

  • Negotiating and preparing documents for the purchase, sale, lease, and development of farmland, commercial, and residential real estate
  • Drafting easements, options, rights of first refusal, and related documents
  • Forming condominium and residential housing cooperative regimes, assisting with the purchase or sale of such regimes, and structuring the condominium or cooperative loan
  • Assisting clients with 1031 tax deferred exchanges
  • Examining abstracts, handling title matters, and conducting closings

Mergers and acquisitions:

  • Negotiating and preparing agreements for the sale or purchase of a business (asset or stock) including without limitation drafting confidentiality agreements, letters of intent, and purchase and sale agreements
  • Assisting clients with the due diligence process and coordinating the closing
